Hong Kong, December 5, 2006 - Kingboard Laminates Holdings Limited (¡§Kingboard Laminates¡¨ or the ¡§Company¡¨; Stock code: 1888), the largest rigid laminate manufacturer globally in 2005 according to JMS, today announced that its Hong Kong Public Offer and International Placing have been significantly over-subscribed. The Offer Price has been set at HK$7.73 per Share.
The Global Offering initially comprised an International Placing of 675,000,000 Shares and a Hong Kong Public Offer of 75,000,000 Shares. However, the significant over-subscription of the Hong Kong Public Offer has triggered the claw-back mechanism in accordance with the Listing Rules in which the number of Shares for the Hong Kong Public Offer has been increased to 375,000,000 Shares, or from the initial 10% to 50% of the Global Offering. The number of Shares for International Placing has been reduced to 375,000,000 Shares, representing 50% of the Global Offering. There is an Over-allocation Option of up to 75,000,000 additional Sale Shares representing 10% of the initial Offer Shares.
Dealing in the Shares on the SEHK is expected to commence on Thursday, December 7, 2006. Goldman Sachs (Asia) L.L.C. is the sole global coordinator, sole bookrunner and sole sponsor of the Global Offering.
